MyScript® and Nebo® are registered trademarks of MyScript SAS.
By installing, copying, or otherwise using Nebo (the “Software”), you agree to be bound by the terms of this End-User License Agreement (“Agreement”). If you do not agree to the terms of this Agreement, do not install the Software, or please uninstall the Software if it is already installed. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.
Upon the free download of the Nebo application and your personal registration, MyScript will grant to you a personal, non-transferable and non-exclusive right and license to install and use a limited version of the Software and all related user documentation and on any compatible device that you own or control, as permitted by the usage rules set forth in the Google Play Store™ terms and conditions (“Nebo License”). The Nebo License allows a full interactive note taking experience with a limited number of pages within one Nebo note using a pen, finger or keyboard, as well as text and image export.
Upon the payment of the applicable license fee for full access, MyScript will grant to you a personal, non-transferable and non-exclusive right and license to install and use the Software and all related user documentation, as permitted by the usage rules set forth in the Google Play Store™ terms and conditions (“Nebo Paid License(s)”).
Upon the payment of the applicable license fee by your organization, as detailed in a separate agreement between MyScript and your organization, MyScript will grant to you a personal, non-transferable and non-exclusive right and license to install and use the Software with the full access and all related user documentation on the operating systems and across five (5) devices specified by your organization.
All rights not expressly granted to you by this Agreement are reserved by MyScript. These Licenses are effective until terminated. You may terminate them at any time by destroying the Software together with all copies.
MyScript retains all title, interest and proprietary rights in and to the Software. Notwithstanding the above, once you have lawfully acquired an applicable license for the Software, as described above, you have the right to use that copy of the Software in accordance with the copyright exhaustion rule under the applicable law and the usage rules set forth in the Google Play Store™ terms and conditions. However, this right is subject to the limitations set forth in this Agreement (Section 3). This does not grant you the right to duplicate, distribute, or create derivative works of the Software beyond the original copy acquired or a copy of the Software made solely for backup and archival purposes. You shall not remove any copyright or other proprietary notice from the Software, and you must reproduce all copyright and other proprietary rights notices on any copy you make.
For the avoidance of any doubt, the Software cannot be accessed and/or used by other accounts associated with you via Google Play Family Library, because Nebo notes may contain your personal and/or confidential information. You retain all title, interest and proprietary rights in and to the contents of your Nebo notes, which are only stored on your personal device at all times unless you decide to export them. You acknowledge that you are responsible for the contents of your Nebo notes, including regular back-ups of the content. MyScript has no access to your Nebo notes except in the following circumstances:
If you decide to transfer your Nebo notes to MyScript for technical support. In the event that you ask for technical support, the MyScript support team may ask your permission to access, use, copy, and modify your Nebo notes in order to solve any support ticket that you have opened.
Under an applicable Nebo Paid License, if you synchronize Nebo to Nebo Cloud storage or a third-party cloud storage service (such as Dropbox or Google Drive) that allow you to synchronize, view and share your Nebo notes via these online storage platforms. In this case, you will be given the choice to share your notes with MyScript. MyScript will only have access to the content of your Nebo notes if you enable the sharing option in the settings. You may enable or disable this option at any time. If you enable this option, we may use the content of your notes in order to develop, train and improve our algorithm, and conduct language-based research in accordance with our Legal Notice and Terms of Use. Only specifically authorized people within MyScript will have access to a note and we always hash the link between your account and your notes. Your shared notes are deleted from our servers either upon your request (contact legal@myscript.com), or automatically when you delete your account. Disabling the sharing option does not delete your notes from our servers. Once you delete your account, it can take up to 12 months for back-up copies to be overwritten. If you disable the sharing option, MyScript will have no further right to access any new Nebo notes.
You shall not:
Work around any technical limitations in the Software.
Reverse engineer, decompile, or disassemble the Software, except and only to the extent that applicable law expressly permits, despite this limitation.
Make more copies of the Software than specified in this agreement or allowed by applicable law, despite this limitation.
Publish or otherwise make the Software available for others to copy.
Rent, lease, or lend the Software.
Transfer the Software or this Agreement to any third party.
Access the features of the Nebo Paid License(s) without paying the applicable license fee unless explicitly granted access by MyScript.
If you fail to comply with any of the terms of this Agreement, your license shall automatically terminate. Such termination shall be in addition to, and not in lieu of, any criminal, civil or other remedies available to MyScript.
Upon termination of this Agreement, you agree to destroy the Software and all copies, if any.
This agreement and the rights and obligations of MyScript hereunder may be assigned by MyScript at any time without notice to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MyScript does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free. The Software is provided “as is” and MyScript expressly disclaims any and all other warranties, expressed, implied or statutory concerning the software or the application, operation or use thereof, or the data generated by the operation or use thereof, including, any implied warranty arising by statute or otherwise in law or from a course of dealing or usage of trade and all implied warranties of merchantability or of merchantable quality, non-infringement or of fitness for any purpose, particular, specific or otherwise, concerning the software and the accompanying written materials and the application, operation, or use thereof.
You assume the entire risk as to the quality and performance of the software. In no event shall MyScript have liability to you or any other person or entity for damages in the form of consequential, incidental, or special damages, lost profits, lost savings, lost data, loss of goodwill or otherwise, or for exemplary damages, resulting from your use or inability to use the Software, even if MyScript has been advised of the possibility of such damages. MyScript’s entire liability and your exclusive remedy for any breach of this Agreement by MyScript shall be replacement of defective media or, if MyScript is unable to replace such media, refund of the license fee paid in respect of the Software. MyScript’s aggregate liability for all claims under this Agreement shall not exceed the amounts received by MyScript from you for the Software licensed hereunder. If you are a Nebo for Organizations user, any and all claims shall be dealt with through your organization according to the terms of the agreement in place between MyScript and your organization.

Please note that MyScript reserves the right to reject requests that are offensive or threaten our employees.
This Agreement shall be governed by, and construed in accordance with, the internal laws of France if you are a business user. This Agreement shall be governed by, and construed in accordance with, the laws of your country of residence if you are an individual consumer. If any provision of this Agreement, or the application of such term to any person or other than those to which it is held invalid, the remainder of this Agreement, or the application of such term to persons or circumstances other than those to which it is held invalid, shall not be affected thereby.
In case of discrepancy between the translation and the original English version of this Agreement, the original English version shall prevail.
